Default and Termination. Upon termination, Tenant shall immediately vacate the Property. Owner's sole remedy upon termination shall be re-entry and possession of the Property. Tenant hereby waives any right to notice or demand prior to Owner's re-entry and repossession of the Property in the event of a default hereunder.

Rights and Remedies Cumulative. The rights and remedies of Owner under this Agreement are cumulative, may be exercised successively or concurrently, at law or in equity, and are not exclusive of any other rights or remedies which Owner would otherwise have had but for this Agreement.

Severability Clause. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of this Agreement shall remain in full force and effect and shall in no way be affected, impaired or invalidated.

Waiver. The waiver by Owner of any breach or violation of this Agreement shall not operate or be construed as a waiver of any subsequent breach by Tenant.

No Partnership Intended. Nothing contained herein shall be deemed or construed by the parties hereto, or by any third party, to create a partnership or joint venture between the parties hereto, it being expressly understood that each party intends to remain an independent contractor vis-à-vis the other party.

Entire Agreement; Modifications Only in Writing. This Agreement contains the entire agreement and understanding between Owner and Tenant and supersedes all prior agreements or understandings, whether written or oral, between the parties with respect to the subject matter hereof. This Agreement may be modified only by means of a writing signed by both parties.

Severability; Waiver. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of this Agreement shall remain in full force and effect and shall in no way be affected, impaired or invalidated thereby. The failure of either party at any time to require performance by the other party of any provisions hereof shall in no manner affect the right at a later date to enforce such terms. No waiver by either party of any breach of any provision hereof shall be construed as a waiver of any continuing or succeeding breach thereof, or a waiver of the provision itself.

This Agreement and each party’s obligations shall be binding on the representatives, assigns and successors of such party. Each party has signed this Agreement through its authorized representative.
