For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree to enter into a consulting relationship under the following terms and conditions: 

Term. The term of this Agreement shall begin on the date of this Agreement and shall continue for [NUMBER OF YEARS] years unless terminated earlier in accordance with this Agreement.

Consulting Services. Consultant shall provide the following services to Company (“Services”): [DESCRIBE SERVICES TO BE PROVIDED]. company may request that the consultant provide additional or different services from time to time, and the consultant shall perform such additional or different services upon request, provided that such services are reasonable and within the scope of the consultant’s professional expertise.

Compensation. In consideration of the Services, Company shall pay Consultant [DOLLAR AMOUNT] per month, payable in advance on the first day of each month. If Consultant incurs any expenses in connection with the Services, Consultant shall submit to Company itemized documentation of such expenses, and Company shall reimburse Consultant within [NUMBER OF DAYS] days after receipt of such documentation.

Term and Termination. The initial term of this Agreement shall begin on the date of this Agreement and shall continue for [NUMBER OF MONTHS] months unless earlier terminated as provided in this Agreement (the “Term”). Either party may terminate this Agreement at any time, with or without cause, upon [NUMBER OF DAYS] days written notice to the other party.

If Consultant breaches any of its obligations under this Agreement, Company may terminate this Agreement immediately upon written notice to Consultant. 

Upon expiration or termination of this Agreement, for any reason: (a) all rights and licenses granted by Company to Consultant under this Agreement shall cease; (b) Consultant shall immediately stop using and destroy all Confidential Information of Company; and (c) Consultant shall return to Company or destroy, at Company’s option, all other property and materials belonging to Company. The provisions of Sections [NUMBER], [NUMBER], [NUMBER], and [NUMBER] shall survive the expiration or termination of this Agreement.

Notwithstanding anything to the contrary in this Agreement, either party may terminate this Agreement immediately upon written notice to the other party if: (a) the other party is in material breach of any of its obligations under this Agreement; or (b) the other party becomes insolvent, files a voluntary petition for bankruptcy or commences or has commenced against it any proceeding under any bankruptcy, reorganization, insolvency or similar law. 

This Agreement constitutes the entire agreement between the parties hereto concerning the subject matter of this Agreement and supersedes all prior agreements and understandings, whether written or oral, between the parties concerning such subject matter. This Agreement may not be amended or modified except in writing and signed by both parties.

The headings used herein are for convenience of reference only and shall not affect the interpretation of this Agreement.

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, and legal representatives. 

If any provision of this Agreement is held to be illegal, invalid, or unenforceable in whole or in part, the remaining provisions shall nevertheless continue to be binding and enforceable with the illegal, invalid, or unenforceable parts severed from the remainder.

This Agreement constitutes the entire.
