SECTION ONE - PRELIMINARY PROVISIONS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, agreements, representations, and understandings. This Agreement may not be amended except in writing signed by both parties.


SECTION TWO - PURCHASE AND SALE OF VEHICLE; RISK OF LOSS; DELIVERY OF VEHICLE 

(a) Purchase and Sale. The Seller agrees to sell, and the Buyer agrees to purchase, the Vehicle on the terms and conditions set forth in this Agreement.

(b) Risk of Loss. The risk of loss or damage to the Vehicle shall pass to the Buyer upon delivery of the Vehicle to the Buyer.

(c) Delivery of Vehicle. The Seller shall deliver the Vehicle to the Buyer on [DATE], at which time title to, and possession of, the Vehicle shall pass to the Buyer. The Buyer acknowledges that the Vehicle is being delivered in an "as is" condition.


SECTION THREE - PURCHASE PRICE AND PAYMENT TERMS 

(a) Purchase Price. The Purchase Price for the Vehicle is $[TOTAL PURCHASE PRICE]. [DOWN PAYMENT AMOUNT] of the Purchase Price shall be paid by the Buyer to the Seller at the time of execution of this Agreement. The balance of the Purchase Price shall be paid by the Buyer to the Seller in [NUMBER] monthly installments of $[MONTHLY PAYMENT AMOUNT], due on or before the [DAY] day of each month, commencing on [DATE].

(b) Late Payments. If any installment is not received by the Seller when due, then such installment shall be deemed delinquent and shall bear interest at the rate of [INTEREST RATE PERCENTAGE]% per year from the date due until paid. In addition, if any installment is more than [NUMBER OF DAYS] days delinquent, then the Seller may declare the entire unpaid balance of the Purchase Price immediately due and payable, and may pursue any other remedy available by law or equity.

(c) Prepayment. The Buyer may prepay all or any part of the balance of the Purchase Price at any time without penalty.

(d) Security Interest/Lien. To secure payment and performance of this Agreement, including but not limited to all future advances, if any, under this Agreement, the Buyer hereby grants to the Seller a purchase money security interest in and to the Vehicle. The Buyer agrees to execute and deliver such further documents as may be reasonably requested by the Seller to perfect and protect such purchase money security interest. Until the full Purchase Price has been paid, the Buyer shall not grant a lien or security interest in the Vehicle to any person other than the Seller.

(e) Entire Agreement. This Agreement constitutes the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to such subject matter.

(f) Amendment. This Agreement may only be amended by a writing signed by both parties.

(g) Waiver. The failure of either party at any time to require performance by the other party of any provision hereof shall in no manner affect such party's right at a later time to enforce the same.

(h) Severability. If any term or provision of this Agreement is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.

(i) Assignment. This Agreement may not be assigned by either party without the prior written consent of the other party; however, this Agreement may be assigned by a party without such consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of such party's assets. Any purported assignment in violation of this section shall be void.

(j) Waiver. The failure of either party at any time to require performance by the other party of any provision hereof shall in no manner affect such party's right at a later time to enforce the same unless such waiver be in writing duly executed by both parties.

(k) Severability. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable for any reason, the remainder of the terms, covenants, conditions and provisions hereof shall remain in full force and effect and shall in no way be affected, impaired or invalidated thereby.

(l) Integration; Amendment. This Agreement constitutes the entire understanding of the parties hereto with respect to the subject matter contained herein and supersedes all prior agreements and understandings between the parties, whether written or oral. This Agreement may not be amended except by a writing signed by both parties.

(m) Binding Effect; Assignment. This Agreement shall be binding upon and inure to the benefit of the successors and assigns of the Seller. The Buyer shall not assign any of its rights or delegate any of its duties under this Agreement without the prior written consent of the Seller. Any attempted assignment or delegation in contravention of this section shall be null and void ab initio.

(n) Notices. All notices, requests, consents, approvals or other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been given when delivered personally or sent by confirmed facsimile transmission or email (with receipt confirmed) or registered mail, return receipt requested, postage prepaid, addressed as follows:
